Terms of Service

These Terms apply to all visitors to the Site, including prospective clients submitting an engagement brief and prospective delivery partners submitting an application. You must be at least 18 years old and have the authority to bind the business you represent to use the Site on its behalf.

The Site describes Scalestone's services and allows you to submit information to start a conversation with us. Nothing on the Site, and no engagement brief or partner application you submit, creates a contract, partnership, joint venture, agency, or employment relationship between you and Scalestone.

Any actual engagement — whether as a client or as a delivery partner — is governed exclusively by a separate, signed written agreement between you and Scalestone, which will set out scope, pricing, deliverables, confidentiality, and other binding terms. These Terms govern your use of the Site only, and do not themselves create any obligation for Scalestone to engage with you, guarantee any outcome, or accept any application.

When you submit an engagement brief, a partner application, or any other information through the Site, you represent that:

• The information you provide is accurate and not misleading
• You have the right to share the information you submit, including any business or client information referenced in your brief
• You are authorized to submit the information on behalf of the company you represent, where applicable

Scalestone reviews submissions at its own discretion and is under no obligation to respond to, accept, or act on any brief or application.

As described on the Site, Scalestone acts as the sole point of contact and accountability for client engagements, coordinating delivery through its internal network of vetted delivery partners. Where you are a client, you acknowledge that:

• Scalestone selects and manages the delivery approach and does not disclose the identity of specific delivery partners
• Any commitments regarding scope, pricing, timelines, or outcome guarantees are only binding once set out in a signed engagement agreement, not by anything stated on the Site

Where you are a prospective delivery partner, you acknowledge that submitting an application does not guarantee inclusion in Scalestone's network, allocation of client work, or any minimum volume of engagements.

You agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms
• Submit false, misleading, or fraudulent information through any form on the Site
• Attempt to gain unauthorized access to the Site, its systems, or related networks
• Interfere with or disrupt the Site's operation, including through malware, scraping, or excessive automated requests
• Reproduce, duplicate, copy, sell, or exploit any portion of the Site without our express written permission

We reserve the right to restrict or terminate your access to the Site if we reasonably believe you have violated these Terms.

The Site, including its text, graphics, logos, the Scalestone name and marks, and underlying design, is owned by or licensed to Scalestone and is protected by applicable intellectual property laws. Except as necessary to use the Site for its intended purpose, you may not copy, modify, distribute, or create derivative works from any part of the Site without our prior written consent.

Any feedback, suggestions, or ideas you submit to us through the Site may be used by Scalestone without restriction or compensation to you.

Information you submit through an engagement brief or partner application is handled in accordance with our Privacy Policy. Submitting information through the Site does not, by itself, create a confidentiality or non-disclosure obligation on Scalestone beyond what is described in the Privacy Policy or a separately signed agreement (such as an NDA).

The Site may contain links to third-party websites, including portfolio or website links submitted by prospective delivery partners. We do not control and are not responsible for the content, accuracy, or practices of any third-party site, and inclusion of a link does not imply endorsement.

The Site and its content are provided "as is" and "as available," without warranties of any kind, whether express or implied, including — to the fullest extent permitted by law — warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Site will be uninterrupted, secure, or error-free.

Nothing on the Site constitutes a guarantee of any specific business outcome, cost saving, or result. Any such guarantee is only binding if expressly set out in a signed engagement agreement.

To the fullest extent permitted by applicable law, Scalestone and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Site, even if advised of the possibility of such damages.

Nothing in these Terms is intended to limit liability that cannot be excluded or limited under applicable law.

You agree to indemnify and hold Scalestone harmless from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your misuse of the Site, your violation of these Terms, or your violation of any rights of a third party.

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or your use of the Site will be subject to the exclusive jurisdiction of the courts located in Mandya, India, unless otherwise required by applicable law.

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
